Pennsylvania LLC Cost in 2026: $125 to File, $7 a Year and the Local Costs Nobody Mentions
If you searched how much does an LLC cost in Pennsylvania, here is the short answer: the state charges $125 to file the Certificate of Organization and $7 a year for the annual report. That is the state cost of forming a standard LLC. Most first-year budgets end up higher because of optional filings, the address you use for your registered office, and local business taxes that the state fee schedule never mentions.
This article is informational, not legal or tax advice. Fees and rules change, so confirm every figure on the agency pages linked at the end before you pay. For ownership structure, tax elections, or any situation involving more than one state, talk to a qualified attorney or CPA.
The state fees you cannot avoid
Every Pennsylvania LLC pays two state fees. Filing is done online through Business Filing Services at file.dos.pa.gov, run by the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations.
| Cost | Amount | When it applies |
|---|---|---|
| Certificate of Organization filing fee | $125 | Once, at formation |
| Annual report | $7 | Every year, January 1 to September 30 |
The formation document is the Certificate of Organization, Domestic Limited Liability Company (Form DSCB:15-8821), filed with a Docketing Statement (DSCB:15-134A). The Bureau asks filers to allow about 15 business days for processing, and current processing times are posted at file.dos.pa.gov.
Your name must contain the term company, limited, or limited liability company, or an abbreviation of one of those terms. It cannot contain words that imply a corporation, such as corporation or incorporated. It also has to be distinguishable from names already on the Department's records, unless the prior holder files a Consent to Appropriation of Name (DSCB:19-17.2). Search your proposed name on the business search page at file.dos.pa.gov/search/business before you pay for anything.
Veteran and reservist owned small businesses are exempt from Department of State filing fees under Act 135 of 2016. That exemption covers the $125 filing fee. It does not cover the $7 annual report. Confirm your eligibility with the Department before you count on it.
Optional state costs
Three optional items come from the same Department of State fee schedule. You pay them only if you need them.
- Name reservation: $70. A reservation holds your name for 120 days while you prepare the filing. The reservation and transfer form is available from the Department of State.
- Fictitious name (DBA): $70. If you do business under a trade name that is different from your LLC name, you file a Registration of Fictitious Name (Form DSCB:54-311). It is filed with the Department of State statewide, not with your county.
- Expedited service: added to the $125. Expedited options are available online or in person only, not by mail. The fees are below.
| Expedited option | Added fee | Filing must be received |
|---|---|---|
| Same day | $100 | Before 10:00 a.m. |
| 3 hour | $300 | Before 2:00 p.m. |
| 1 hour | $1,000 | Before 4:00 p.m. |
| Special Processing | $70 | Optional. Places multiple same-day documents in a specified order. |
Expedited fees are paid on top of the $125 filing fee. A same-day filing received before 10:00 a.m. therefore costs $225 in state fees, and a 1 hour filing costs $1,125.
No publication requirement for LLCs
Corporations in Pennsylvania must advertise their formation in two newspapers of general circulation, one preferably a legal journal, and keep proof of the notice in the corporate minutes. That requirement comes from 15 Pa.C.S. section 1307. LLCs have no publication requirement. If you compare an LLC with a corporation, the newspaper notice is one cost the LLC does not carry.
The registered office: the cost that depends on your address
Pennsylvania does not use registered agents. Every LLC must list a registered office in Pennsylvania with a street and number. A post office box alone is not accepted. If your business already has a physical or mailing address in Pennsylvania, you list that address and do not need anything else.
If you have no Pennsylvania address, you can contract with a Commercial Registered Office Provider (CROP) under 15 Pa.C.S. section 109 and list the provider's name and county of venue in place of an address. The CROP fee is set by a private company, not the state, and the state does not publish a figure. Get a written quote and add it to your budget. Listing a CROP without a contract can carry civil and criminal penalties. A CROP also cannot be used where a principal place of business is required, such as a fictitious name registration, so settle your address before you file a DBA.
Local costs nobody mentions
Pennsylvania has no state general business license that every business must hold, and no county business licenses. The Bureau of Corporations and Charitable Organizations does not issue activity licenses. What you owe depends on what you do and where you do it.
- Industry licenses. Some trades need a state license. Home improvement contractors, for example, must register with the Pennsylvania Attorney General. Check the rules for your specific activity with the agency that regulates it.
- Municipal business taxes. Some Pennsylvania municipalities levy a business privilege tax (BPT) and a mercantile license tax. Reading and Bethlehem are examples. The figures we verified were $55 for Reading and $25 for Bethlehem. Confirm the current amount, and whether it recurs each year, with your city's tax office before you assume it is a one-time fee.
- Philadelphia's Business Income and Receipts Tax (BIRT). If your business operates in Philadelphia, the BIRT applies to its income and receipts in the city. Confirm the rate, filing requirements and any registration step with the City of Philadelphia's Department of Revenue. This guide does not state a BIRT rate.
- Sales tax registration. If you sell taxable goods or services, register for a Sales, Use and Hotel Occupancy Tax License through myPATH. The paper PA-100 was retired in 2022. The state sales tax rate is 6%. The sales tax license is free.
Taxes: what is not on the list
Pennsylvania has no LLC franchise tax, and it has had none since 2016. There is also no separate LLC annual tax. A standard LLC is treated the same way as its federal tax classification. Pass-through income is taxed to the owners under the flat 3.07 percent Personal Income Tax. An LLC taxed as a corporation pays the Corporate Net Income Tax, which is 7.49 percent for tax years beginning in 2026.
Restricted professional companies (PLLCs) are the exception to the no-annual-fee rule. They must file a Certificate of Annual Registration by April 15, with a fee of $700 per eligible member for the 2025 reporting year. Confirm the amount for the current reporting year with the Department of State.
Income tax is not a formation cost, but for most profitable LLCs it becomes the largest recurring cost. Ask a CPA how your federal classification will affect your state tax bill before you choose one.
What a realistic first-year budget looks like
| Scenario | State fees |
|---|---|
| Basic online formation, no options, first annual report | $125 + $7 = $132 |
| Formation with a DBA | $125 + $70 + $7 = $202 |
| Name reserved, formed, and DBA filed | $125 + $70 + $70 + $7 = $272 |
| Same-day expedited (received before 10:00 a.m.) with a DBA | $125 + $100 + $70 + $7 = $302 |
The $7 annual report is first due in the year after formation, not the year you form. These totals exclude a CROP fee, municipal business taxes and any industry license. Add those once you know your address, your city and your activity.
Steps to avoid surprise costs
- Search your proposed name on the Department of State business search before you pay for a reservation.
- Settle your registered office first. Decide between a Pennsylvania street address you already have and a CROP contract.
- Ask your city, borough or township whether it levies a business privilege tax or a mercantile license tax, and whether the charge recurs.
- Register for taxes through myPATH if you will sell taxable goods or services.
- Check the license rules for your trade with the agency that regulates it.
- Put the annual report on your calendar: January 1 to September 30 each year, $7 online.

The bottom line
For a basic online LLC, plan on the $125 filing fee to form it, then $7 a year for the annual report, which is first due the year after formation. Then add whatever your name, address, city and activity require. Confirm every figure above on the agency pages before you pay, and if your ownership is complex or you expect a meaningful profit, pair the filing with advice from a qualified attorney and CPA.
